1 Account Information and Security

1.1 Registration

To use most features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep it accurate. DeepCerebra may reject any registration at its sole discretion.

1.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, personal access tokens, API keys, and any bring-your-own-key (BYOK) model provider credentials you supply. You agree to notify DeepCerebra immediately of any unauthorized use of your account at security@deepcerebra.ai. DeepCerebra is not liable for any loss or damage arising from your failure to protect your credentials.

1.3 Prohibition on Sharing

You may not share your account credentials or subscription benefits with any other individual. Each account is personal to the registered user and is not assignable or transferable without DeepCerebra's prior express written approval.

1.4 Age Requirement

You must be at least 18 years of age to create an account and use the Services. By registering, you represent and warrant that you are at least 18 years old. If DeepCerebra discovers that an account holder is under 18, DeepCerebra reserves the right to immediately terminate the account without notice. The Services are not directed at children, and DeepCerebra does not knowingly collect personal information from anyone under 18.

2 Access and Use of Services

2.1 License Grant

Subject to your compliance with this Agreement and payment of applicable fees, DeepCerebra grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business software-development purposes during the term of your subscription.

2.2 Ownership

DeepCerebra and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights. Nothing in this Agreement transfers any ownership rights to you, except as set out in Section 3 with respect to Your Content and generated output.

3 Your Content, Code, and Generated Output

3.1 Ownership of Your Content

You retain all right, title, and interest in and to the source code, files, prompts, instructions, and other materials that you submit to, store in, or generate with the Services ("Your Content"). DeepCerebra claims no ownership over Your Content or over the code, documents, and other output generated for you by the Services ("Generated Output"). As between you and DeepCerebra, Generated Output is owned by you to the maximum extent permitted by law.

3.2 Confidential In-Browser Storage and Zero Data Retention

DeepCerebra is designed so that your project files are held in confidential in-browser (client-side) storage, and prompts and code routed to large language models through our Zero Data Retention (ZDR) LLM API are not retained on our servers or by our model providers beyond what is strictly required to return a response. See the Privacy Statement for details.

3.3 License to Operate

You grant DeepCerebra a limited, worldwide, royalty-free license to process, transmit, and display Your Content and Generated Output solely as necessary to operate and provide the Services to you. We do not use Your Content or Generated Output to train foundation models.

3.4 Responsibility for Your Content and Output

You are solely responsible for Your Content and for your review, testing, and use of Generated Output. AI-generated code may contain errors, security vulnerabilities, insecure patterns, or licensing concerns. You are responsible for reviewing and validating all Generated Output before relying on or deploying it.

4 Prohibited Uses

You agree not to use the Services to:

• Violate any applicable law, regulation, export control, or third-party right.
• Generate, store, or distribute content that is unlawful, malicious, harmful, harassing, defamatory, or that infringes the intellectual property or privacy rights of others.
• Develop malware, ransomware, exploits, or tools whose primary purpose is to cause harm or to gain unauthorized access to systems or data.
• Interfere with or disrupt the integrity, performance, or availability of the Services or related systems.
• Attempt to gain unauthorized access to the Services, other accounts, or computer systems.
• Reverse engineer, resell, or use the Services to build a competing product, or use automated tools to extract data or exhaust capacity beyond your plan, except as expressly permitted.
• Circumvent usage metering, billing, rate limits, or any access controls.

5 Third-Party Models, Services, and BYOK

The Services let you route requests to third-party large language model providers, either through DeepCerebra's ZDR LLM API or by supplying your own keys (BYOK), and to connect third-party tools (for example, Model Context Protocol servers, Git providers, and local model runtimes such as Ollama or LM Studio). Your use of any third-party model or service is governed by that third party's terms and policies. DeepCerebra is not responsible for the availability, accuracy, or output of third-party models or services, and you are responsible for complying with their terms and for any keys or credentials you supply.

6 Acceptable Use of Compute and Automation

The Services execute agentic workflows that may run commands, edit files, call tools, and access connected repositories on your behalf. You are responsible for the actions you authorize the agent to take, for any commands it executes in your environments, and for maintaining appropriate backups and access controls. You must not use the Services to run workloads that are abusive, that violate the rights of others, or that exceed the limits of your subscription plan.

7 Payments and Subscriptions

7.1 Subscription Fees

Certain features are offered on a subscription basis (for example, the Basic, Pro, and Ultimate plans). You agree to pay all applicable fees for your chosen plan. All fees are stated in U.S. dollars unless otherwise specified. Payments are processed securely through our payment provider, Stripe.

7.2 Usage-Based Charges and Metering

Subscription plans include a monthly allowance of AI usage measured in credits (denominated in U.S. dollars). Usage beyond the included allowance, and any additional usage credits you purchase, are metered based on the tokens consumed by the underlying models and the published rates. You authorize DeepCerebra to charge for metered usage in accordance with the Services Description and your dashboard.

7.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle at the then-current rate unless you cancel prior to the renewal date. You can manage your subscription in your account dashboard.

7.4 Refunds

Refunds are governed by our Cancellation & Refund Policy, which forms part of this Agreement.

7.5 Taxes

You are responsible for all applicable taxes, levies, or duties imposed in connection with your use of the Services, excluding taxes on DeepCerebra's net income.

7.6 Service Modifications

DeepCerebra reserves the right, at its sole discretion, to modify, reduce, or discontinue any feature included in your plan, cancel renewals, or cancel the Services due to extraordinary circumstances, including changes in third-party model availability, regulatory requirements, economic conditions, or operational necessity. If DeepCerebra cancels your active subscription under this provision, you will receive a prorated refund for the unused portion of your current billing period in accordance with the Cancellation & Refund Policy.

8 Term, Termination, and Suspension

8.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support@deepcerebra.ai. Termination is subject to the Cancellation & Refund Policy.

8.2 Termination or Suspension by DeepCerebra

DeepCerebra reserves the right to suspend or terminate your access at any time, with or without cause, including for any violation of this Agreement, non-payment of fees, or if DeepCerebra determines that your use poses a risk to DeepCerebra, other users, or third parties.

8.3 Effect of Termination

Upon termination, your license to use the Services immediately ceases. Because project files are held in confidential in-browser storage, you are responsible for exporting or backing up Your Content. Any server-side account data will be deleted in accordance with our data retention practices described in the Privacy Statement.

8.4 Free Plan Cancellation and Conversion

DeepCerebra reserves the right to cancel free or trial accounts, at its discretion and for any reason. DeepCerebra may also request, at its discretion, that users on a free plan convert to a paid plan within 30 days, after which the free account may be cancelled.

9 DeepCerebra Proprietary Rights

DeepCerebra and its licensors retain all right, title, and interest in and to the Services, including all software, models, orchestration logic, user interfaces, trade secrets, patents, copyrights, trademarks, and other intellectual property. The DeepCerebra and DeepCerebra Coder names, logos, and related marks are trademarks of DeepCerebra Inc.

10 Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to any third party without the other party's prior written consent, except as required by law.

11 Dispute Resolution and Arbitration

11.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact DeepCerebra at legal@deepcerebra.ai and attempt to resolve the dispute informally for at least 30 days.

11.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to this Agreement or the Services shall be resolved by binding arbitration, rather than in court, except as provided in Section 11.3.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

12 Indemnification

You agree to indemnify, defend, and hold harmless DeepCerebra and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with your access to or use of the Services, Your Content, your use of Generated Output, your violation of this Agreement, or your violation of any rights of another.

15 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Delaware.

16 Miscellaneous

This Agreement, together with the DeepCerebra Privacy Statement, Services Description, Cancellation & Refund Policy, and Global DPA (if applicable), constitutes the entire agreement between you and DeepCerebra with respect to the Services. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. DeepCerebra's failure to enforce any right or provision shall not be deemed a waiver. You may not assign or transfer this Agreement without DeepCerebra's prior written consent.
